$PHIO 2 Form 4’s issued today, statement of changes in beneficial ownership. CEO has an additional 400k shares issued to him, for a new total of 764,861 shares, and CFO got an additional 108k shares, for a total of 189,112 shares..

$PHIO adds 1.5million shares to its employee incentive plan effectively diluting share holders by 13 percent. This from a company that is already overvalued. I would expect some downward price movement. Even more reason to be BEARISH in the short run.

$PHIO The HTB flag is the most interesting thing on this screen. "HTB" next to the quote means PHIO is currently Hard To Borrow — brokers are having trouble locating shares for short sellers. That's meaningful: when a stock goes hard-to-borrow, it usually means existing short sellers are either stuck holding their positions (can't easily add to shorts) or new shorts can't get in cheaply. Combined with a stock that's been beaten down for a long stretch, an HTB flag raises the odds of a short squeeze if any real buying pressure shows up — fewer sellers available to press it back down. This is exactly the kind of technical fuel that could make your "violent move once it goes" thesis play out faster than fundamentals alone would suggest.

$PHIO We view today's PR as a modest but genuine de-risking event. More evidence that managment will steer PHIO to a binary event with a good likely hood of tremendous success. Not buyers down at these levels until a capital raise or partnership (partnership not very likely near term) removes the elephant in the room risk.

$PHIO and , I value a stock like $PHIO by dividing expected discounted cash flow by the expected number of share outstanding when cash flow turns positive. This allows for future dilution. Management, unexpectedly, increasing the number of shares available for employee incentive plans increases my estimate of the number of shares that will be outstanding when positive cash flows commence. It is incontrovertible that the value of my shares has been diluted. No evidence was presented to support the case that the previous incentive plan was sub optimal. The new incentive plan was voted for by 1.15million shares which is just 11 per cent of shares. In effect management voted for a huge increase in the number of shares to be allocated to management through the incentive scheme. Three members of management were allocated 525,000 additional shares so that their capacity to control future votes is enhanced. Awards were granted despite share price halving. BEARISH
