Pfizer now has two days to match Novo’s bid or let its agreed-upon deal with Metsera fall through, the report stated.&nbsp;</p><h2 class="st-heading-2">Start Of The Bidding War</h2><p>Novo Nordisk first announced last week that it has submitted an unsolicited proposal to acquire Metsera, following Pfizer's agreement to acquire the smaller obesity biopharmaceutical company in September. Metsera determined that Novo’s bid was superior and gave Pfizer a certain number of days to negotiate the terms of their agreement. &nbsp;</p><p>On Monday, Metsera said that it has received revised bids from both Pfizer and Novo, valuing the company at up to $8.1 billion and $10 billion, respectively. Pfizer reportedly matched Novo’s offer late on Wednesday, prompting Novo’s new bid.</p><p>Pfizer had requested a temporary restraining order from the Delaware Chancery Court last week to prevent Metsera from terminating the existing merger agreement in favor of a competing proposal from Novo Nordisk. However, the court denied the request on Wednesday. Pfizer, however, said that it intends to pursue further litigation and expressed confidence in the merit of claims that Metsera has acted in breach of its contractual obligations. Metsera, on its side, dismissed Pfizer’s arguments as “nonsense.”</p><h2 class="st-heading-2">How Did Stocktwits Users React?</h2><p><a href="https://stocktwits.com/symbol/MTSR">MTSR stock</a> soared 14% at the time of writing. <ul class="summary-bullets"><li>Delaware Chancery Judge Morgan Zurn ruled that Pfizer’s objections did not justify delaying Novo’s $10 billion acquisition of obesity-drug startup Metsera.</li><li>The court decision follows Metsera’s board reaffirming Novo’s revised $86.20-per-share offer as superior to Pfizer’s $8.1 billion counterproposal.</li><li>Pfizer vowed to continue its legal and antitrust challenges in Delaware federal court.</li></ul><p>Novo Nordisk’s U.S.-listed shares rose Wednesday, ending an 11-session losing streak, after a Delaware judge rejected Pfizer's request to block the Danish company’s $10 billion acquisition of obesity-drug startup Metsera Inc.</p><p>Delaware Chancery Judge Morgan Zurn said Pfizer’s objections didn’t warrant delaying the transaction and found no evidence Metsera’s board acted in bad faith when it labeled Novo’s offer “superior.” The ruling allows Novo to proceed with the deal, which topped Pfizer’s earlier $4.9 billion agreement announced in September, according to a Bloomberg&nbsp;<a class="st-link-external" target="_blank" rel="noopener noreferrer nofollow" href="https://www.bloomberg.com/news/articles/2025-11-05/pfizer-loses-legal-bid-to-temporarily-block-novo-s-metsera-offer">report</a>.</p><h2 class="st-heading-2"><strong>Revised Offers Raise The Stakes</strong></h2><p>On Tuesday, Metsera said it received a revised offer from Novo valuing the company at up to $86.20 per share, or about $10 billion. The new proposal includes $62.20 per share in cash, up from $56.50 in the original bid, plus contingent value rights worth up to $24.00 per share if certain milestones are achieved.</p><p>Pfizer also revised its terms, increasing upfront consideration to $60 per share and trimming the contingent payout to $10 per share, valuing its bid at roughly $8.1 billion. Despite the adjustment, Metsera’s board reaffirmed Novo’s offer as superior and gave Pfizer two business days to counter before terminating its merger agreement.</p><h2 class="st-heading-2"><strong>Pfizer Vows To Keep Fighting</strong></h2><p>Pfizer said the ruling “fails to address the legal issues raised” and vowed to continue litigation in Delaware federal court, calling Novo’s bid “an unprecedented and illegal scheme to circumvent antitrust scrutiny.” The company alleges Novo’s move is designed to protect its dominance in the GLP-1 obesity-drug space by neutralizing a future competitor.</p><p>Novo countered that the court’s ruling validates its approach and serves shareholders’ best interests. Its offer, which includes both upfront and milestone-based payments, aims to bring Metsera’s experimental weight-loss portfolio, which is a potential rival to Ozempic and Wegovy, under its umbrella.</p><h2 class="st-heading-2"><strong>FTC Flags Premerger Concerns</strong></h2><p>The U.S. Federal Trade Commission warned that Novo’s offer could breach the Hart-Scott-Rodino Act if completed without premerger review. Novo Nordisk Snaps 11-Day Losing Streak After Court Rejects Pfizer’s Challenge To $10B Metsera Deal

Delaware Chancery Judge Morgan Zurn ruled that Pfizer’s objections did not justify delaying Novo’s $10 billion acquisition of obesity-drug startup Metsera.

The downgrade comes as the firm pursues a $10 billion bid for Metsera and, reportedly, nears a White House deal that could cap obesity-drug prices at $149 a month in exchange for Medicare coverage.</p><h2 class="st-heading-2"><strong>Earnings Review</strong></h2><p>Novo Nordisk, the maker of Wegovy and Ozempic, lowered its full-year guidance on Wednesday, signaling a rocky start for new CEO Mike Doustdar. The company now expects operating profit growth of 4%–7% in local currencies for 2025, down from an earlier 10%–16%, and sales growth of 8%–11%, below the previous 8%–14% range.</p><p>Doustdar attributed the cut to “lower growth expectations for our GLP-1 treatments,” adding that the company will accelerate efforts “to compete better in dynamic and increasingly competitive markets.”</p><p>Third-quarter sales rose 5 % to 75 billion Danish crowns ($11.7 billion). Wegovy sales climbed 18% to 20.35 billion Danish crowns, but missed expectations of 21.35 billion Danish crowns, as pricing pressure and rising competition from Eli Lilly’s Zepbound weighed on performance.</p><h2 class="st-heading-2"><strong>New CEO Faces Early Test</strong></h2><p>Doustdar, who took charge in August, faces one of Novo Nordisk’s toughest transitions in years. The company’s shares have dropped 43% in 2025, as pricing wars, U.S. policy headwinds, and management reshuffles have dented investor confidence in what was once Europe’s most valuable firm.</p><p>Novo Nordisk said its company-wide restructuring aims to streamline operations and reinvest for growth, with a renewed focus on obesity treatments.</p><h2 class="st-heading-2"><strong>Metsera Bid And Legal Battles</strong></h2><p>The Danish drugmaker’s revised $10 billion offer for U.S. obesity biotech Metsera has intensified its rivalry with Pfizer, which has filed two lawsuits alleging anticompetitive behavior.&nbsp;</p><p>Novo Nordisk dismissed the claims as “false and without merit.” Metsera said Novo’s latest proposal was “superior” to Pfizer’s, but the escalating bid raises investor concerns about cost discipline amid narrowing profit growth.</p><h2 class="st-heading-2"><strong>US Pricing Talks</strong></h2><p>Adding to the uncertainty, UBS said in a research note that Novo Nordisk and Eli Lilly’s supposed deal with the White House on obesity-drug pricing would cap prices at $149 per month for the lowest dose in exchange for Medicare coverage.</p><p>The investment bank described its stance as “mixed,” while Medicare inclusion could drive volume upside, the $149 price level represents a major discount versus global obesity-drug pricing.
