Northern Star rejected Gold Fields’ takeover proposal: A$38.7 billion (about $27.1B), the biggest potential Australian gold deal in years.
The offer was paper-heavy: 0.3125 Gold Fields shares plus A$7.25 cash per Northern Star share. And it shrank while it sat on the table — worth A$27.00 per share when sent on Sept 14, down to A$25.19 Friday on Gold Fields’ own falling share price.
That math is why the board said no. A 14% premium, when Australian takeovers typically need about 30% to get done. Chairman Michael Chaney called the bid “well short” of fundamental value and “highly opportunistic.”
One more layer: Elliott pushed Northern Star to explore a sale to a rival like Gold Fields back in June. This was the answer.
GFI fell 13% Monday. Northern Star rose 10.6% to A$24.46, still below the implied offer price.
