Energy Services of America announced plans to acquire substantially all operating assets of FAMCO, a West Virginia utility contractor focused primarily on water and sewer infrastructure, for a base purchase price of $6.95 million, subject to adjustments.
Under the Asset Purchase Agreement, Energy Services’ new subsidiary, FAMCO Acquisition, will pay 3/8 of the purchase price in cash at closing, while 1/2 will be paid in Energy Services common stock issued after closing. The remaining 1/8 will be retained pending a final post-closing settlement. The transaction is expected to close around October 9, 2026, subject to customary conditions.
FAMCO brings an experienced workforce, equipment fleet, customer relationships and a backlog of water and sewer infrastructure contracts. Energy Services expects the acquisition to complement and expand its existing water and utility construction operations.
