Reverse split 160:1 effective Mon 9/28 (6-K filed 5am today). 375,387,811 shares → ~2,346,174. ⚠️The Series A/B warrants from the 9/21 registered direct reset to the lowest daily VWAP over 9/21-10/5. VWAP is defined in the warrant as 9:30am-4:02pm only - pre-market and after-hours are excluded. Share count is grossed up so the $15,476,195 aggregate exercise price never changes. So: lower VWAP = more shares, at zero extra cost to the holders. Ratchet is down-only. Today's ~$0.057 VWAP (= ~$9.14 post-split) is already locked as a ceiling on the exercise price. Any later day that prints lower drops it further; higher days change nothing. At $0.057: ~1.69M post-split warrant shares vs 297k at the original $0.44/$0.21 terms. That's 5.7x, into a 2.35M share company. Series B expires 10/21. Company can't issue new stock until 10/21 (standstill in the SPA). Insiders and 5%+ locked to 12/20. All of it is in ex 4.1, 4.2 and 10.1 of the 9/22 6-K & today's 6-K.
