The Global Forwarding segment focuses on the global logistics services through an international network of offices in North America, Europe, Asia, Australia, New Zealand, and South America. The All Other and Corporate segment includes Robinson Fresh and Managed Services segments, as well as other surface transportation outside of North America and other miscellaneous revenues and unallocated corporate expenses. The company was founded by Charles Henry Robinson in 1905 and is headquartered in Eden Prairie, MN.

That is about 31% of the buyer's roughly $18.4B market value before the deal. Its stock fell 10.8% on Oct 5. Before $300M a year of hoped-for savings, the price is about 42 times RXO's expected adjusted EBITDA of $137M. Bulls point to C.H. Robinson's own margin gains and little customer overlap. Bears point to new debt, paused buybacks and a $604M jury verdict. Third-quarter results come later this month.

$CHRW C.H. Robinson is buying RXO for about 5.8 billion dollars: 17.25 dollars in cash plus 0.0856 CHRW shares per RXO share, a 29 percent premium to Friday's close. The acquirer is taking the pain: CHRW down about 14 percent Monday, the worst performer in the Dow transport index (off 1.5 percent), with J.B. Hunt down 3.4 percent alongside it. There's history here. RXO was spun out of Brad Jacobs' XPO in 2022, and Jacobs built his name rolling up logistics. Now CHRW is buying one of his offspring back while its own stock craters. The company promises 300 million dollars of net cost synergies within two years and says the deal is accretive to adjusted EPS within nine months. The open question is leverage: the cash portion is funded with new debt, and buybacks stay paused until the target ratio is reached, expected by the end of 2028.

$CHRW is buying $RXO and the market is punishing the buyer: CHRW -13% at 137.12 (12:26 ET) on ~6.8x normal volume, and my screener flipped it to a momentum sell plus a volume surge sell right at the open. That's roughly 2.5B USD of market cap gone, close to half the 5.8B deal value. Terms are 17.25 cash + 0.0856 CHRW shares per RXO share. At today's CHRW price that works out to ~29.00, not the 30.25 headline, and RXO trades 28.42 (+21.6%), so the spread is only ~2%. What caught my eye: my volume screener already had RXO on a buy since Friday, after a ~16% run on Thursday and Friday before any announcement. I didn't trade it, it was just sitting in the list. CHRW still has 28 straight years of dividend hikes. 300M of promised synergies vs a 2.5B haircut: overreaction, or a fair price for integration risk?

$CHRW Looks like by the downgrade that shares will be much lower tomorrow that I rather buy (DFH)that bought BZH that has book value of $15.75 with 5 insiders buying at $14.80 that the future is better that yeilds mean nothing with Revs. and earning will be much higher when merger complete.

C.H. Robinson Worldwide faces credit-rating pressure after proposing a $5.3 billion acquisition of freight-broker rival RXO. S&P Global Ratings revised C.H. Robinson’s outlook to negative from stable while affirming its BBB+ issuer rating. The deal, expected to close in the first half of 2027, would be funded with cash, stock and $3.5 billion of new debt. S&P expects the added leverage to temporarily push pro forma FFO-to-debt into the mid-to-high 20% range at closing, well below its 45% downside threshold. C.H. Robinson plans to suspend share buybacks after Q3 2026 and direct projected free cash flow toward debt reduction, targeting roughly $1.6 billion of debt repayment to restore FFO-to-debt to the mid-to-high 40% range by mid-2029.
