$TRUG After all the waiting, it’s exciting to see this move forward. The 8-K confirms the staged approach: common shares issued at closing, with Series C conversion pending shareholder and Nasdaq approval.

$TRUG This is a Polymath RTO (Reverse Takeover). Polymath CFO Natalie Hirsch -> CFO/COO Ex-Nasdaq exec Jay Heller on Board $21M in assets + $4.2M revs brought in Low float + Oct catalysts Market is pricing a dead golf company, not the new RWA/crypto platform. $8+ is easy on volume. Dont sell it, buy it when going down, and just wait. We win it ❤️

$TRUG With the press release out this morning, I’m watching for the 8-K, today after market close. It should give us more detail on the transaction. Next week’s October 15 investor meeting could also bring more visibility and interest in the combined business.

$TRUG my AI working for me this morning: Important TRUG dilution update: a new 8-K filed today, September 24, reports that as of September 21, 2026, TruGolf has 12,065,115 Class A shares actually outstanding. That is a huge increase from the previously confirmed 4,572,458 shares. The remaining Series A preferred has also fallen from roughly $4.4M to $1.76M of stated value, indicating substantial additional Series A conversion has occurred. For the merger’s $10 million market-cap threshold: $10,000,000 ÷ 12,065,115 = $0.8288 So the corresponding share price is now approximately $0.83 per share. That is the major development we were waiting for: the SEC-confirmed outstanding count has risen to 12.07M, meaning the mathematical $10M threshold has dropped from roughly $2.19 to $0.83.

$TRUG Market makers and HFT algorithms are intentionally suppressing the price right now to shake out impatient retail hands and collect cheap shares. The 8-K is officially filed and the merger is DONE. Don't fall for the trap and sell at a discount. Patience is key! 💎🙌

$TRUG Here is my opinion. I think there was an overreaction to the reverse split because management has been very clear that they are moving forward with the Polymath deal. This is what moving forward with the deal looks like: • Cleaning up the capital structure and reducing the Series A overhang and restructuring Chris Jones’ debt so most of it is pushed out 12 months instead of being immediately due • Jones stepping down from management and agreeing to vote his Class B shares with the board for a year, Brenner Adams taking over as interim CEO, and adding Jay Heller, a former Nasdaq capital-markets executive, to the board • Doing the 1-for-10 reverse split to address the minimum bid-price issue and working toward the concurrent financing required by the merger documents • Addressing Nasdaq compliance and dealing with the $10M market-value / 10-day closing condition •None of that guarantees the deal closes. But these are the kinds of financing and Nasdaq steps you would expect to see...

$TRUG the move should happen on or before the merger completion news. If it's not moved then it's over.

$TRUG FUD. US GAAP updated fair value accounting rules for digital assets. Plus Polymath brings $4.2M revs, $3M cash injection, and 21m $ in real assets to $TRUG. Learn the actual filing before spreading bear noise. 🤡

$TRUG one other point about the Polymath ALT coins. US GAAP assigns no value given the illiquidity. Who thought this deal was positive for shareholders?

$TRUG Said this was a dilution/insider enrichment scheme a month ago and what has happened since? A reverse split and more dilution. If you don't short turds like this into the toilet bowel where they belong the what are you really doing in the market?

$TRUG The dilution continues at a brisk pace, as expected lifted up with Burger-Money , then Dilution .

$TRUG This is a warning for anyone even considering buying this garbage. You might think you are getting a good deal right now because "its cheap" but when the split takes the price up to $2.90 it will just start declining until it hits .29 cents again and you will lose all of your invested money as a result. Dont fall for it. Invest your hard earned money somewhere else.

$TRUG the promoter is long gone. He may return when the stock gets an algo blip. Then he’ll exclaim that he bought the low print and sold at the high. He’s a grade a a**hole.

$TRUG it's only a question what price the company like to reach on the 29. for his Dilutions-Machine ? is it $4 or $6 or higher or lower ? after every RS the stock goes again down because the dilution That's the question: what have they planned, and what do they hope to achieve? So we might see another rally from the lows here before the RS arrives. .
