December 4, 2023 - SilverSun ($SSNT) agreed to a $1 billion private placement from Jacobs Private Equity II ($900 million) and co-investors ($100 million). Closing was slated for H1 2024, subject to shareholder approval. Brad Jacobs would become chairman and CEO and use the recapitalized company—after a 1-for-8 reverse split—as an M&A / roll-up platform.
December 11, 2023 - Jacobs named the target: the ~$800 billion building-products distribution market, and rebranded the vehicle QXO. That turned a ~$20 million IT-services microcap into a high-profile acquisition platform.
May 30, 2024 - SilverSun held a Special meeting. Stockholders approved the $1B investment, the new charter, the 1-for-8 reverse split, and related items.
June 6, 2024 (morning) — The reverse split took effect (~5.32 million shares → ~664,000). The company filed the name change to QXO and began trading as $QXO.
June 6, 2024 (same day, after the split) — The $1 billion closed. JPE became majority owner; Jacobs became chairman and CEO.
