Dear Shareholders and Friends of I-ON Digital Corp.,
Coming on the heels of I-ON Digital's second quarter public filing, reflecting approximately $3.6 million in
year-to-date net earnings, the Company heads into the Q3–Q4 reporting window with the expectation that
recurring revenue for the balance of the year will likely range between $6 million and $7 million. The bulk of this
is anticipated to come from yield-based premiums and ION Digital licensing revenue derived from ION's core
business practices — primarily through the deployment of ION's owned or controlled digital asset holdings and its
IP-based technology services. Based on the Company's current cost structure, these revenues are expected to add
approximately $5 million to $6 million in bottom-line earnings for the current year.

ION's Q3–Q4 balance sheet is expected to reflect the addition of two new revenue-stream-driven accounts:

FUNDING STRATEGY
I-ON Digital is currently engaged in negotiations focused on raising $1 - $3 million in bridge funding. The
working concept is a corresponding security interest, if necessary, in ION’s balance sheet assets — the CVX
SAFE wallet, the iREET token position, and/or Purchase Money interests in the Blythe claims package — with
conversion at a preferential discount tied to a future qualified financing or a NASDAQ uplisting event.
This funding will allow the Company to continue its ongoing due diligence in advancing the Blythe Gold Claims
project. ION's Board of Directors has recently approved an expansion of the Blythe Gold Claims acquisition —
adding additional claims for a total of 36 Bureau of Land Management (BLM) claims – subject to final surveying
and geological meet & bounds staking. This interim funding is also intended to bridge the Company through to
the November 1 initial funding release date of the Convex SAFE Wallet referenced above.
Why it matters: I-ON Digital is ultimately contemplating a larger institutional raise to fund the rollout of the
Company's cornerstone Digital Bank-in-a-Box platform, among other strategic initiatives. ION's core-processing
service bureau — a digital-assets-based solutions platform — is designed to give independent and regional banks
access to ION's software licensing and functionality solutions for cost-effective institutional conversion to
full-scale digital banking capabilities across lending, deposit, wealth management, and transaction settlement
functions.
Funding at this greater level would further allow I-ON Digital to secure a range of materially underwritten gold
claims currently within the Company's gold claims pipeline, which includes both fee-simple acquisitions and
joint-venture opportunities. Under ION's business model, the Company would manage the output, marketplace
deployment, and monetization of the resulting ION gold-backed digital assets produced from this growing
pipeline.
A further component of the strategic capital raise is an anticipated enterprise-wide rollout of I-ON Digital's
marketing and communications strategy, including the introduction and engagement of U.S. and global
partnerships focused on broad marketplace positioning and long-term brand building around the I-ON Digital
name.
